What goes into the purchase cost
The price per share times the quantity is only part of it. A buyer also pays stamp duty of 0.015% on the transfer, collected through the depository, and may pay a small per-transaction charge to their own depository participant. There is no securities transaction tax on an off-market transfer, and we charge no platform fee.
The total, divided by the number of shares, is your real cost per share. That figure, not the price you were quoted, is your cost of acquisition for tax and the break-even you need to beat on a sale.
How the gains calculator applies tax
It first checks the holding period. For unlisted shares, a gain is long-term only after more than 24 months and is then taxed at 12.5%. A shorter holding is taxed at your slab rate. If you choose an exchange sale after listing, it applies the listed-equity rules instead.
The full rules, including ESOPs, bonus shares and losses, are in the taxation guide.
Why a target price needs tax built in
A 25% gain on paper is not a 25% return. Tax comes off the gain, and a short-term sale taxed at a high slab rate can take away almost a third of it. The target-price calculator works backwards: it starts from the post-tax return you want and tells you the sale price that delivers it, so the comparison with today's indicative price is like for like.
Remember that an unlisted share has no guaranteed buyer at any price. A target is a planning figure, not a forecast; see the risks before you rely on one.
Frequently asked questions
How much stamp duty do I pay when buying unlisted shares?
0.015% of the amount you pay, borne by the buyer and collected through the depository on the off-market transfer. On a ₹1 lakh purchase it is ₹15.
Does the capital gains calculator include surcharge?
No. It includes the 4% health and education cess but not surcharge, which applies only above certain income levels and is capped at 15% on long-term gains. If your income attracts surcharge, your actual tax will be higher.
Why does the calculator ask how the shares are sold?
Because the rules differ. An off-market sale of unlisted shares is long-term only after more than 24 months. A sale on the exchange after the company lists is taxed as listed equity: long-term after 12 months, with a ₹1.25 lakh annual allowance and a flat 20% on short-term gains.
Are the results investment advice?
No. The calculators do arithmetic on the numbers you enter. They do not predict what a share will be worth or recommend buying or selling.
